The Center for Business Ethics and Corporate Governance
presents
a specialized course in standards and practices for corporate
governance
through the Russian Institute of Directors: “Corporate Director”
location to be determined
This seminar is specifically designed for upper level
management and directors.
12 companies in St. Petersburg will have the possibility
of free attendance.
This seminar is open to public corporations and participants
in the projects of the Center for Business Ethics and
Corporate Governance.
The international conference “Corporate governance,
social responsibility and business ethics. The role of business
in the present-day society” took place in the Renaissance
St. Petersburg Baltic Hotel. The
conference was organized by the Center for Business Ethics and
Corporate Governance in cooperation with the Russian Institute
of Directors, Independent Directors Association, with support
of the Leningrad Region Chamber of Commerce and Industry and
the USA-Russia Center for Entrepreneurship.
The conference was final on the “Accountability for improving
corporate governance” project, which has been worked out by
the Center for 2 years and was a part of the USAID program on
corporate governance improving in Russia.
The agenda included the following questions:
Trends in Worldwide Corporate Governance, Social Responsibility
and Business Ethics Developments;
Toolkits of the corporate governance improving system ;
Presentation of the project results;
Future development of the corporate governance in Russia;
The speakers were representatives of the Center for Business
Ethics and Corporate Governance, the Russian Institute of Directors,
the Independent Directors Association, representatives of the

Learn
how to harness Corporate Social Responsibility to accelerate
your company's growth and profitability.
The conference was hosted by the Ethical Corporation and took
place on June 7-8 2005 in Hotel "Astoria", St. Petersburg,
Russia.
The United Nations Global Compact in New York and UNDP in Moscow
offices was working closely with Ethical Corporation on this
conference.
The event focused on how companies in Eurasia can practically
work on improving their social, environmental and corporate
governance practices and how they can contribute through collective

The Center for Business Ethics and Corporate
Governance, with the support of the regional department of the
FSFR in the North-West region, organized a course by the Russian
Institute of Directors, entitled “The Corporate Secretary.” The
course was conducted within the framework of the “Accountability
for Improving Corporate Governance” project, which was financed
by USAID for the second time.
If

members of the Board of Directors or organize sessions for the
Board of Directors, or participate in the preparation of annual
reports – this course is for you!

The
course was read by the best specialists of the Russian Institute
of Directors.

29, 2005
The seminar “ Information disclosure for securities market.
First quarter obligatory reporting and the Code of Conduct recommendations”
took place. The seminar was organized by the FFMS Regional
Department in the North-West region. Svetlana Kazanskaya, project
director and Ulyana Bashkina, project analyst, have presented the
electronic model of reporting about corporate governance.
The Russian Institute of Directors
(Moscow) developed this special course on the standards and practices
of corporate governance for members of the Board and top-managers.

The Center
for Business Ethics and Corporate Governance and the Leningrad Region
Chamber of Commerce and Industry have conducted the seminar entitled
“Corporate Governance Code: To have or not to have?” 22 representatives
of the companies took part in the seminar.
January,
25, 2005. The Center for Business Ethics and Corporate Governance
conducted international conference entitled “Investment and Corporate
Governance”
Conference brought together over 150 participants that include government
officials, corporate governance experts, representatives of St.
Petersburg business community and representatives of international
and Russian financial institutions. Senior Managers of largest investment
funds and companies, such as Westminster Securities, IFC, Overseas
Private Investment Corporation (OPIC), The Carlyle Group, European
Bank Reconstruction and Development spoke about trends in worldwide
private equity and venture capital investment, why corporate governance
is important for investors and answered questions concerning the

conference “Corporate Ethics and Globalization”, organized by
the “Central European Exhibitions” LLC on April 19-20,
2005, in Moscow.

December,
9, 2004. The U.S.- Russia Center for Entrepreneurship, the Independent
Directors Association (IDA), the Center For Business Ethics and
Corporate Governance conducted the seminar “Corporate Governance:
the success key”, which took place in the Radisson SAS Royal Hotel
in St.Petersburg on December 9, 2004. This seminar has been developed
together with Paul Curis, an American expert on the corporate
governance issues as well as Alexandr Filatov, the IDA director.
The seminar will be lead by Mr.Filatov.
The seminar’s aid was to help the entrepreneurs to develop and
realize in practice the corporate governance problems-solving.
It has to give a view of the effective corporate governance common
practice so that the entrepreneurs could develop the mostly useful
for their companies systems.

19, 2004. The Center For Business Ethics and
Corporate Governance together with the International Management
Institute of St Petersburg (IMISP) organized the seminar titled
“Effective work of the Boardroom. International practice”.
The
main speaker was Ms.Debra Nelms, the founder of Network
Search Inc., a consulting and executive search firm focused
on Board Program offerings and Board Placement.
The
conference was carried out within the framework of the project
“Accountability for Improving Corporate Governance” financed by
the United States Agency for International Development (USAID).
The Association of Independent Directors, the US-RUSSIA Business
Forum and the Center for Business Ethics and Corporate Governance
organized the conference.
Participators of the conference included Russian and international
experts on corporate management, members of different boards of
directors, and top-managers of leading companies working in the
Russian market.
During the conference the following issues were presented and
discussed:
*Presentation of research done by the Association of Independent
Directors on the problem of balancing the boardrooms of Russian
companies and the recommendations produced on its basis.
* Types of boards of directors and an estimation of their efficiency.
* Ways to increase the efficiency of boards of directors.

A round-table organized by Center for Business Ethics and Corporate
Governance and US-Russia Business Forum together with the Independent
Directors Association for the IDA and NAUFOR members as well as
the Center’s project participants was held in Moscow.
The main speaker was Robert Strahota, Assistant Director of the
US Securities and Exchange Commission’s Office of International
Affairs.
Mr.Strahota has discussed the following issues: last changes in
the corporate governance legislation - Sarbanes/Oxley Act; information
disclosure problems; broker-dealer capital requirements and risk
management procedures.
October, 21, 2004. A section titled “The role of women in the corporate
governance” organized by CFBE in the frame of the international
conference “Women changing the world” was held.
More than
40 people participated in the work of section, among them were
specialists from: the CFBE, International Finance Corporation,
US-Russia Business Forum, Independent Directors Association
and others.
October,
19, 2004.
A round table organized by Center For Business Ethics And Corporate
Governance and USA-Russia Business Forum together with American
Chamber of Commerce was held. Mrs. Paulina McGroarty, Director
for NASDAQ operations in Russia and CIS countries participated
in the round table.
Mrs. Paulina McGroarty spoke about the NASDAQ plans to establish
long-term relations with Russia and answered questions concerning
benefits of listing in the US and on the NASDAQ in particular.

International Practice.
Seminar was supported by Institute of Internal Auditors and Institute
of Professional Directors

June,
18, 2004. The Center for Business Ethics and Corporate Governance
with the support of US Consulate General in Saint-Petersburg and
with participation of Russian Institute of Directors and International
Finance Corporation held the conference “Development of Business
Through Improving Business Ethics and Corporate Governance”.
The Conference was arranged in the frame of Center for Business
Ethics and Corporate Governance’s projects, aimed at improving
corporate governance in Russia and implemented with the financial
support of Eurasia Foundation and US Agency for International
Development (USAID). The goal of the forum was to summarize the
results of activities on the project “Training Needs Assessment
for Improving Business Ethics and Corporate Governance” and to
identify the direction for further improvement of corporate governance
and practical implementation of ethical corporate conduct principles

Leaders Meet In Switzerland Glimpse
the future of the CSR community! Engage with other NGOs! For two
days in early September, leaders in Corporate Social Responsibility
from around the world met outside Zurich, Switzerland at a conference
convened by U.S. NGO, Business for Social Responsibility (BSR).
The Center for Business Ethics and Corporate Governance was represented
by Chairman Matthew H. Murray. The conference focused primarily
on the future of CSR standards, private sector reporting, and
the role of intermediary groups such as NGOs – an exciting step
toward forging a stronger community of CSR groups, visionary business
