Matrix (SAM)
How developed is your company’s corporate governance system? The answer to this question is of great interest to your stakeholders: investors, shareholders, managers, and market regulators. It is our pleasure, then, to provide a tool – the Self-Assessment Matrix – designed to facilitate a thorough analysis of your company’s corporate governance system. The Self-Assessment Matrix (or simply, the Matrix) is in the form of a MS Excel spreadsheet. After filling out this table you will be able to calculate a percentage of your company’s compliance with the best practices described in the FCSM Corporate Governance Code. The Matrix covers: the 102 basic FCSM Code provisions; 78 items to be included in your annual report (Regulation # 03-849/R from April 30, 2003 “Requirements For Annual Reporting of Joint Stock Companies On Compliance With FCSM Code”); and 23 items which must be reported to stock exchanges in which your company’s shares are traded (Regulation #03-1169/R from June 18, 2003 “Ratification Of Requirements For Capital Market Traders Monitoring Joint Stock Company Compliance With FCSM Code”). Since the FCSM Code contains a large number of provisions, most have been sorted into sub-sections, but still the Matrix is rather large. For greater ease of handling we have divided the Matrix into separate sections, each with its own subtotal. For the moment, the Matrix and the FCSM Code have very similar structures, but we plan to continually revise the SAM in order to it more user-friendly. For instance, we have already designed the Cover Sheet, where general information on your company is collected, to automatically funnel data to all relevant sections of the Matrix. In cases where your company has not followed FCSM guidelines, the corresponding table cells automatically turn gray . Code provisions that apply to the annual report are green, and those that apply to stock exchange reporting are blue. Legal obligations mentioned in the FCSM Code have not yet been included in this draft of Matrix, but they will appear in the future. We also plan to further develop the Cover Sheet toward fuller integration/coordination with FCSM Code items in the Matrix.
